Gwenn StearnState Archivist andPublic Records AdministratorOffice of the Secretary of State337 Westminster StreetProvidence, Rhode Island 02903Re: RIHMFC Records Retention ScheduleDear Ms. Stearn: This Department has received the proposed records retention schedule for the Rhode Island Housing and Mortgage Finance Corporation ("RIHMFC"). As you may know, RIHMFC is a public corporation, having a distinct legal existence from the state and not constituting a department of the state government, R.I. Gen. Laws § 42-55-4, and has the power to sue and be sued in its own name, R.I. Gen. Laws § 42-55-5(1). RIHMFC employs its own legal counsel and is not a state entity which the Attorney General represents or advises pursuant to his duties under R.I. Gen. Laws § 42-9-6. I have communicated, both orally and in writing, with W. Bart Lloyd, Assistant Director or Legal Affairs for RIHMFC. Mr. Lloyd represents that RIHMFC employed outside counsel (Brown, Rudnick, Freed & Gesmer) to develop a policy and review the legal requirements for retention of documents generated by RIHMFC.
